We are a blank check company incorporated in November 2020 as a Delaware
corporation whose business purpose is to effect a merger, capital stock
exchange, asset acquisition, stock purchase, reorganization or similar business
combination with one or more businesses, which we refer to throughout this
Annual Report as our initial business combination.
While we may pursue an acquisition opportunity in any industry or sector, we
intend to focus on the medical technology sector. Our management team and board
(collectively referred to as the "team") possess a synergistic combination of
executive, strategic, operational, financial and transactional experience in
this sector, and have demonstrated a strong track record of identifying and
creating significant stockholder value at leading medical technology companies.
