Description of Business

We are a blank check company incorporated under the laws of the State of
Delaware on January 15, 2021 and formed for the purpose of effecting a merger,
share exchange, asset acquisition, share purchase, reorganization or similar
business combination with one or more businesses (the "initial business
combination"). While we may pursue an initial business combination target in any
business, industry or geographic location, we intend to search globally, with a
focus on North America, Europe and Asia (excluding China), for target companies
within the media and entertainment ("M&E") sector. We will not undertake our
initial business combination with any entity with its principal business
operations in China (including Hong Kong and Macau). We intend to focus
specifically on companies that are positioned to benefit directly from the
growth of digitally available content.
