We are a blank check company incorporated on August 18, 2020 as a Cayman Islands
exempted company for the purpose of effecting a merger, share exchange, asset
acquisition, share purchase, reorganization or similar business combination with
one or more businesses or entities (a "business combination"). We have neither
engaged in any operations nor generated any revenue to date. Based on our
business activities, the Company is a "shell company" as defined under the
Securities Exchange Act of 1934 (the "Exchange Act") because we have no
operations and nominal assets consisting solely of cash and/or cash equivalents.
On August 24, 2020 our sponsor, JCIC Sponsor LLC, paid $25,000 to cover certain
expenses on our behalf in consideration for the issuance of 8,625,000 Class B
ordinary shares, par value $0.0001 per share (the "Class B ordinary shares"), or
approximately $0.003 per share (the "Founder Shares").
