We started our operations in August 2008 when our founders established Vipshop
Information in China. In order to facilitate foreign investment in our company,

founders incorporated Vipshop Holdings Limited, an offshore holding company in
Cayman Islands, in August 2010. In October 2010, Vipshop Holdings Limited
established Vipshop International Holdings Limited, or Vipshop HK, a
wholly-owned subsidiary, in Hong Kong. Subsequently, Vipshop HK established a
wholly-owned PRC subsidiary, Vipshop China, in January 2011.
