We are a blank check company formed pursuant to the laws of the State of
Delaware on December 15, 2020 for the purpose of entering into a merger, stock
exchange, asset acquisition, stock purchase, reorganization, recapitalization or
other similar business combination with one or more businesses or entities,
which we refer to throughout this Report as our initial business combination.
While our efforts in identifying a prospective target business for our initial
business combination will not be limited to a particular industry or geographic
region, we intend to initially focus our search on identifying a prospective
target business that has experienced financial distress or has recently emerged
from a financial restructuring, as described below.
