We are a Cayman Islands company registered by way of continuation in the Cayman
Islands on June 30, 2009. Our corporate affairs are governed by our amended and
restated memorandum and articles of association, the Companies Act (Revised) of
the Cayman Islands and the common law of the Cayman Islands.
GCBC, formerly known as CCBC, was formed through a business combination (the
"Business Combination"), which involved the merger of Pantheon China Acquisition
Corp. ("Pantheon") with and into Pantheon Arizona Corp. ("Pantheon Arizona"),
then a wholly owned subsidiary of Pantheon was formed for the purpose of
effecting a merger, with Pantheon Arizona surviving the merger (the "Merger")
and the conversion and continuation of Pantheon Arizona's corporate existence
from Arizona to the Cayman Islands (the "Redomestication").
